Terms and Conditions of Sale

1. Price.
Quoted prices on the products are exclusive of all sales, excise and other taxes, and exclusive of freight, installation, handling and storage charges, any or all of which, as applicable will be added to the invoice as separate charges to be paid by the Buyer or otherwise charged as indicated in these Terms and Conditions. Prices are effective for all purchase orders received from Buyer within 30 days of the date of Cobalt Digital Inc.’s formal price quotation, and thereafter subject to changes. Unless otherwise agreed to in writing by Seller, all prices quoted are exclusive of transportation and insurance costs, duties, and all taxes including, but not limited to, federal, state, provincial and local taxes, excise, value added, goods and services taxes and any other taxes. Buyer agrees to pay these taxes unless Buyer has provided Seller with an exemption resale certificate in the appropriate form for the jurisdiction of Buyer’s place of business and any jurisdiction to which Products are to be directly shipped hereunder, or unless the sale is otherwise exempt from these taxes. Buyer agrees to indemnify and hold Seller harmless for any liability for tax in connection with the sale, as well as the collection or withholding thereof, including penalties and interest thereon. When applicable, transportation and taxes shall appear as separate items on Seller’s invoice. Cobalt Digital Inc. reserves the right to increase prices in cases where modifications requested by the Buyer give rise to additional costs. Verbal price estimates are not binding.

2. Payment Terms.
Payment terms’ approval will be subject to receiving satisfactory credit references providing proof of adequate credit history. Cobalt Digital management will be the final arbiter on this decision. All international orders (outside of the US), will be subject to 100% payment in advance prior to shipping unless agreed in writing by Cobalt Digital management. Invoices will be dated as of date of shipment.

3. Delivery.
Terms shall be FOB Cobalt Digital Inc. premises, Champaign, Illinois for delivery by FedEx Ground (or similar carrier) with all freight charges, including special handling charges of carrier, paid by Buyer. Buyer shall bear all risk or loss or damage upon delivery of products to carrier at point of shipment, Champaign, Illinois.

4. Delays.
Cobalt Digital Inc. is not liable for any delay in the performance of orders or contracts, or in the delivery or shipment of products, or any damages suffered by Buyer by reason of such delay, when such delay is, directly or indirectly, caused by or in any manner arises from, fires, floods, earthquakes, accidents, Acts of God, governmental interference or embargoes, strikes, labor difficulties, shortage of labor, fuel, power, materials or supplies, transportation delays or any other cause or caused beyond its control. All orders or contracts are given and accepted with the understanding that they are subject to Cobalt Digital Inc.’s ability to obtain materials from manufacturers and suppliers and are subject to manufacturing schedules and government regulations that may be in effect from time to time. Failure to meet a delivery date shall not give cause to either cancellation of the order, or liability on the part of Cobalt Digital Inc. Cobalt Digital Inc. may in its sole discretion allocate Product among its Customers.

5. Cancellations and Change Orders.
Accepted purchase orders can be cancelled or changed only with Cobalt Digital Inc.’s written consent and upon terms that will indemnify Cobalt Digital Inc. against all losses, costs and damages it sustains directly or indirectly related to the cancellation or change. Typical restocking charges are 15%.  All special orders are non-cancellable and non-returnable. Changes to special orders may results in a price increase.

6. Inspection and Rejection.
All products shall be examined by Buyer upon receipt of Buyer. If products are damaged upon receipt or do not conform to agreed specifications, products shall not be moved from point of delivery, and a written claim must be filed with Cobalt Digital Inc. within 5 business days of date of delivery. Upon receipt of a written claim for damaged or nonconforming products, Cobalt Digital Inc. will notify Buyer in writing if products are to be returned, or if products will be repaired or if a credit will be issued. Whether products are returned or repaired or whether a credit is issued, is within Cobalt Digital Inc.’s full and complete discretion, subject to the limited warranty set forth below, and shall be Buyer’s sole remedy at law or equity.

7. Limited Warranty: Disclaimer.
Five year parts and labor warranty for manufacturing defects on all Cobalt Digital manufactured cards and stand alone modules. Three-year warranty for manufacturing defects on LMNTS™ and SpotCheck™ products.  This limited warranty does not cover normal wear and tear and shall not apply to any product which has been damaged or misused or modified, altered or repaired by any party other than an authorized representative of Cobalt Digital Inc. 

8. Termination.
Each purchase order issued by Buyer in connection with Cobalt Digital Inc.’s quotation is subject to acceptance by Cobalt Digital Inc.  If Buyer defaults in the payment of any sum due Cobalt Digital Inc. or commits any other breach of any of the terms or conditions herein or if there is a material change in the ownership or financial conditions of the Buyer which is considered unsatisfactory to Cobalt Digital Inc., then Cobalt Digital Inc. may, without prejudice to any other rights which may have accrued or which may accrue to it, whether under contract or at law or equity, refuse to accept any purchase order and may terminate any order immediately.

9. Cobalt Digital Inc.’s Property.
All specifications, drawings, tools, jigs, dies, fixtures, materials, equipment and other items furnished by Cobalt Digital Inc., or the cost of which is charged against this order shall be confidential and shall be and remain the property of Cobalt Digital Inc. The sale of products by Cobalt Digital Inc. to Buyer shall not be construed as a license of any trade secret right, trademark, patent or copyright.

10. Confidential Information.
Buyer agrees to treat the products supplied by Cobalt Digital Inc., related documentation, specifications and any other papers accompanying purchase orders as the confidential information (“Confidential Information”) of Cobalt Digital Inc. and shall not disclose such Confidential Information other than to its employees and agents who need to know such information and who are informed of the confidential nature of such information. 

Price quotations are valid for 30 days from date on the Quotation. Five year parts and labor warranty for manufacturing defects on all Cobalt Digital manufactured cards and stand alone modules. Three-year warranty for manufacturing defects on LMNTS™ and SpotCheck™ products. No returns will be accepted without prior authorization and being accompanied by recognized RMA number issued by Cobalt Digital Inc. A 15% restock fee will be charged for items returned unopened and within 30 days of shipment date.  There will be a minimum of $245 charge on any unit that is altered and returned to Cobalt Digital Inc. Restock Fee:

Return Material Authorization Terms and Conditions

This document outlines the Cobalt Digital Inc. Return Material Authorization (RMA) Terms and Conditions.

Prior to returning your Cobalt Digital Inc. product for replacement or warranty repair, please make certain to first contact our technical support department.  A technical support specialist will work with you to troubleshoot the problem prior to the RMA issuance.  Contact our technical support department by phone (toll free 800-669-1691 US only or +1-217-344-1243), or email any questions directly to our technical support team (support@cobaltdigital.com) for prompt assistance.

The following information will be required when contacting our technical support department before issuing an RMA:

  • Customer name and contact person
  • Customer return shipping address, city and country
  • Phone number
  • Product number 
  • Product serial number
  • Detailed description of failure or problem

If the problem is unable to be solved remotely, technical support will issue an RMA number to identify and track the return/repair of the product.  Issuing an RMA-number for any product does not guarantee that the product can or will be repaired/replaced.

RMA Return Shipment

The customer is responsible for shipping the product to Cobalt Digital. Please return the product in its original factory box or similar packaging. The products should be placed in an ESD-protective bag and secured in the shipping box using bubble wrap or alternative shipping materials. If more than one item is being sent, please ensure the items are bubble-wrapped individually inside the box.

The customer will be charged for shipping damages resulting from improper packaging.

Please make certain the RMA number is marked clearly on all boxes, packages and accompanying paperwork.

RMA Repair and Test Procedures

If a returned product is determined to be damaged or misused, it will be handled according to the out-of-warranty policy below. All repaired or replacement parts will have successfully passed the appropriate manufacturing quality assurance test procedures. These are the same tests that are utilized to verify “new build” parts as manufactured by Cobalt Digital.

RMA Out-of-Warranty

A product may be determined out-of-warranty, if the warranty period has expired, or if the product has been damaged/misused. If your product is determined to be out-of-warranty, the following guidelines are applied.

Repair or Replacement Fees

Out-of-warranty products will be repaired or replaced as determined below. For all products a non-refundable diagnostic fee is required to determine whether the product can be repaired. If the product is repairable, the total repair charge (meaning diagnostic fee plus repair charges) will not exceed replacement costs. 

The Diagnostic Fee, which includes Ground return shipping, are as follows: Product returning to Domestic addresses in the Continental US and Canada is $245 USD, per item.  Product returning to International addresses, anywhere outside Continental US and Canada, is $345 USD, per item

Additional labor is charged at the rate of $150 USD per hour.

You will be notified of the estimated cost of repair if it exceeds the Diagnostic Fee. You may be required to supply a PO or other payment method prior to repair depending on your specific terms with Cobalt Digital.

The Diagnostic Fee may be waived or credited with the purchase of a replacement product.
